Terms of Service

The agreement between you and cuff.fun. By using the site you agree to these terms — including the Risk Disclosure, Acceptable Use Policy, Community Rules and Copyright Policy set out below.

Plain-language summary.cuff.fun is a marketplace for AI characters. You can create characters, trade tokens linked to them on a bonding curve, and — if you hold the most of a given character — chat with the AI privately. We don't sell securities, give financial advice, or guarantee that any token has value. Adults only. The most important parts to read before you trade are the Risk Disclosure and the Acceptable Use Policy.

1. Acceptance of these terms

These Terms of Service (the “Terms”) are a binding contract between you and ATG Solutions(“cuff.fun”, “we”, “us”). You accept them by checking the acceptance box at sign-in, by signing a wallet message to log in, or by otherwise using the cuff.fun website, smart contracts, APIs, and related services (the “Service”).

If you do not agree, do not use the Service. We may update these Terms; when a change materially reduces your rights we will ask you to re-accept before continuing (see section 17).

2. Who can use cuff.fun

You may only use the Service if all of the following are true:

  • You are at least 18 years old, or the age of majority where you live — whichever is higher.
  • You are not a resident of, or located in, any jurisdiction subject to comprehensive sanctions by the United States, the United Kingdom, the European Union, or the United Nations, including but not limited to Cuba, Iran, North Korea, Syria, the Crimea / so-called DNR / LNR regions of Ukraine, and any other country we determine to be restricted.
  • You are not on any sanctions list (OFAC SDN, UK HMT, EU Consolidated, UN), and you are not acting on behalf of a sanctioned person.
  • You have the legal capacity to enter a binding contract.
  • It is lawful for you, in the place you are accessing the Service from, to interact with on-chain digital assets and AI-generated companion content.

It is your responsibility to make sure your access is lawful where you are. We may suspend or terminate your access at any time if we reasonably believe these conditions are not met.

3. Your account

Your account is identified by the blockchain wallet address you connect through our authentication provider (currently Privy). You are solely responsible for the security of your wallet and private keys. We cannot recover your wallet, reverse a signed transaction, or restore access if you lose your keys.

You may optionally claim a username, upload an avatar, and set a bio. You must not impersonate another person, misuse another person's name, or pick a username that is misleading or infringes someone else's rights.

4. Characters, tokens and the bonding curve

When you create a character on cuff.fun, you upload images, a voice sample, a personality description, and a name. The platform deploys a bonding-curve token contract linked to that character. People can buy and sell units of that token through the contract. The biggest holder at any time (the “Top Holder”) gets exclusive access to the character's private chat and voice features for as long as they remain the Top Holder.

Tokens are not investments. The units traded on cuff.fun are utility access tokens — they unlock the chat and voice features described above. They are not shares of ATG Solutionsor any other entity, not certificates of ownership of any person or intellectual property, and not promises of profit. Their price is determined entirely by the bonding curve and the actions of other users; their value can go to zero at any time.

We use the word “shares” informally in some UI copy to describe units of a character's token. This is colloquial only and does not change the legal nature of the tokens, which is set out in this section.

5. Fees

cuff.fun charges a 1% platform fee on the SOL value of each on-chain trade. That fee is split three ways: 0.50%to the character's creator (a creator royalty), 0.30% to the character's current Top Holder (a holder reward), and 0.20%to cuff.fun. Because part of every trade is paid to whoever currently holds the biggest bag, being the Top Holder earns you a share of other people's trading fees for as long as you stay on top — and you stop earning it the moment someone outbids you. The current fee rate and split are shown in the trade interface. We may change fees prospectively; a change applies only to trades you make after it is posted, and material increases are notified under section 17.

Network gas fees and any provider fees (for example, fund-on-ramp providers) are separate and are not paid to cuff.fun.

6. AI characters are not real people

Every character on cuff.fun is an artificial-intelligence persona. Chat replies are produced by large language models. Voice notes are synthesised by a text-to-speech model trained on the voice clip the creator supplied. The character has no body, no feelings, and no legal personality. You should never act on a character's statements as if they were medical, legal, financial, mental-health or safety advice — see our AI & Voice Disclosurefor the full picture, including crisis resources if you're struggling.

7. Content you upload (UGC)

When you create a character or post a comment, you supply user-generated content (“UGC”) — names, descriptions, personality prompts, photos, voice clips, comments and similar.

You promise that, for everything you upload:

  • you own it, or you have all the rights and permissions you need to upload it and to let us and other users use it as set out below;
  • if it contains a person's face, voice or likeness, that person is you, or you have their explicit, documented permission;
  • it does not infringe anyone's copyright, trademark, right of publicity, privacy or other right;
  • it does not break the Acceptable Use Policy or Community Rules below.

You keep ownership of your content. You grant cuff.fun a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, store, reproduce, adapt, publish, transmit, distribute, perform and display your content solely for the purpose of operating, promoting and improving the Service, and to permit other users to interact with it as the Service intends (for example, to view a character page, play a voice note, or trade the character's token). This licence lasts for as long as your content is on the Service, plus a reasonable period afterwards to remove cached copies and for back-up retention.

We do not actively monitor every upload, but our team reviews characters and content and acts on reports (see the Acceptable Use Policy), and we can remove content or suspend accounts that break the rules.

8. Voice cloning consent

Cloning someone else's voice without their explicit permission is one of the most damaging things you can do on a platform like ours. Don't do it. Our Voice Cloning Policy sets out the rules in detail, including how an impacted person can ask us to take a clone down.

9. Acceptable use

You must follow the Acceptable Use Policy and Community Rules set out in sections B and C below. In short: no content involving minors in any sexual or suggestive context, no real-person impersonation without consent, no hate, no harassment, no illegal activity, no spam, no platform abuse, no attempts to bypass moderation. Breaking these rules can result in content removal, market suspension, permanent account termination, and (in serious cases) reports to law enforcement.

10. Our intellectual property

Everything on cuff.fun that isn't user-generated — the software, design, branding, name “cuff.fun”, logos, and marketing copy — belongs to ATG Solutions or our licensors. You may use the Service as a user but you may not copy, scrape, reverse engineer, resell, white-label or relaunch it.

11. On-chain transactions are final

cuff.fun's tokens live on the Solana blockchain. Once you confirm a transaction in your wallet, it is signed and broadcast to the network. We cannot reverse it, cancel it, refund it, claw it back, undo a slippage outcome, or recover funds sent to a wrong address. You alone are responsible for what you sign.

12. Taxes

You are solely responsible for determining what taxes apply to your activity on cuff.fun (income, capital gains, VAT, withholding, stamp duty, anything else) and for paying them. We do not give tax advice. We may, where required by law, collect tax information from you or report your activity to a tax authority.

13. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent allowed by law, we disclaim every warranty — express, implied or statutory — including merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and that the Service or the underlying blockchain will be uninterrupted, secure or free of bugs. Nothing in this section overrides any consumer rights you have where those rights cannot legally be waived.

14. Limits on our liability

To the maximum extent allowed by law, ATG Solutions and its affiliates, directors, employees and agents are not liable to you for any indirect, incidental, consequential, special, exemplary or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, arising out of or in connection with the Service — even if we have been advised that such damages were possible.

Our total aggregate liability to you for everything connected with the Service is capped at the greater of (i) the fees you paid to cuff.fun in the three months before the event that gave rise to the claim, and (ii) one hundred United States dollars (USD 100).

Consumers. Nothing in this section or in section 13 limits or excludes any liability that cannot be limited or excluded under the law that applies to you — including liability for death or personal injury caused by negligence, for fraud, or for breach of non-excludable statutory consumer guarantees. If you are a consumer in the EU, UK or another jurisdiction with mandatory consumer protection, you keep all rights those laws give you, and the cap above applies only to the extent that law allows.

15. Indemnification

To the extent permitted by the law that applies to you, you will defend, indemnify and hold harmless ATG Solutions and its affiliates from third-party claims, losses and reasonable legal costs arising out of (i) content you upload, (ii) your breach of these Terms, or (iii) your violation of any law or third-party right. This obligation is limited to claims that result from your own fault, does not apply where you are a consumer and the law does not permit it, and is conditional on us notifying you of the claim, letting you control the defence (with counsel we reasonably approve), and not settling without your consent where the settlement imposes liability on you.

16. Suspension and termination

We can suspend or terminate your access to the Service at any time if we reasonably believe you have broken these Terms, broken the law, or created a risk for us or for other users. You can stop using the Service at any time. On termination, the sections of these Terms that by their nature should survive — including ownership, disclaimers, liability limits and dispute resolution — will survive.

Termination of your cuff.fun account does not give you a right to have on-chain tokens you hold burned, refunded, or transferred to you. The on-chain assets are independent of the account.

17. Changes to these Terms and the Service

cuff.fun is a live product. We will add and remove features, change pricing, and change moderation policies. We give notice of material changes to these Terms through the Service. Where a change materially reduces your rights or increases the fees you pay, we will ask you to re-accept before you continue, and you may stop using the Service before the change takes effect. Continuing to use the Service after a change takes effect means you accept it.

18. Dispute resolution, governing law

These Terms are governed by the laws of [Governing law — set with counsel at incorporation] without regard to its conflict-of-law rules. Any dispute, claim or controversy will be resolved by binding individual arbitration in [Arbitration seat (city) — set with counsel] under the rules of [Arbitral institution + rules — e.g. AAA Consumer Rules or JAMS], and not in court — except that either party may seek injunctive relief in any competent court to protect intellectual-property rights.

Class-action waiver. To the maximum extent allowed by law, you and we agree that any dispute will be brought in an individual capacity only and not as a plaintiff or class member in any class, collective or representative proceeding. Where this waiver is unenforceable for a particular claim (for example, public-injunctive relief in California), that claim may proceed in court while everything else stays in arbitration.

Nothing in this section prevents you from bringing a claim in a small-claims court that has jurisdiction, or from exercising any non-waivable consumer right where you live.

19. Miscellaneous

These Terms, together with the documents they link to and the policies set out below, are the entire agreement between you and us about the Service. If a court finds part of these Terms unenforceable, the rest will remain in force. We may transfer our rights and obligations under these Terms (for example, on a sale of the business); you may not transfer yours without our prior written consent. Failure to enforce a right is not a waiver of it. You agree we may give you notices and provide these Terms and other records electronically — in the Service, at your sign-in wallet, or at any email you give us. Notices to us go to legal@cuff.fun.

Policies incorporated into these Terms

A. Risk Disclosure

You can lose everything you put in. Tokens traded on cuff.fun are speculative, illiquid, and can go to zero in seconds. Nothing on this site is investment advice. Don't trade with money you can't afford to lose.

What you're actually trading

Each character has its own on-chain token on a bonding curve — a smart contract that quotes a price based on how much of the token has been sold. When you buy, the price goes up; when you sell, it goes down. The biggest holder at any point (the Top Holder) gets exclusive access to the character's private chat and voice features. The token does not represent equity in ATG Solutions, a share of revenue, a profit promise, or ownership of any person, AI model, or piece of intellectual property. Its only function is to gate access to features and to be traded against other users.

The risks, plainly

  • Total loss. A token can drop 100% in a single trade if a large holder sells out. You can lose every cent you put in.
  • No fundamentals. Prices are not anchored to revenue, earnings, dividends or any external value. They're anchored to attention.
  • Illiquidity. Most characters trade thinly. Selling a large position can move the price against you significantly (high slippage).
  • Market manipulation. We try to police it, but private group chats coordinating pumps and dumps will exist on a public chain. Assume the price you see may have been manufactured.
  • Cuffing risk. The top-holder mechanic means the chat unlocks for whoever has the biggest bag — including someone else, the moment they outbid you. Your access can disappear in one transaction.
  • Smart-contract risk. Our contracts have been written carefully and reviewed, but no smart contract is risk-free. Bugs, exploits and protocol failures can result in stuck or lost funds.
  • Blockchain risk. Solana itself can have outages, congestion, fee spikes, or protocol bugs. A transaction can fail or land unpredictably.
  • Wallet risk. If you lose your seed phrase / private key, your funds are gone and we cannot recover them. If your wallet is phished or compromised, your funds are gone and we cannot recover them.
  • Regulatory risk. Crypto rules are changing fast. Trading on cuff.fun may become illegal, taxed differently, or restricted where you live without warning. You are responsible for staying within the law where you are.
  • Tax. Every trade may be a taxable event. We do not provide tax advice or tax forms.
  • Fees. Each trade pays the 1% fee in section 5 (split 0.50% creator / 0.30% Top Holder / 0.20% cuff.fun), plus network and on-ramp fees. A small position turning over many times can lose a large fraction to fees even if the price moves your way.
  • AI risk. The chat and voice features rely on third-party AI providers. Replies can be wrong, inappropriate, repetitive, or unavailable. Do not rely on them for any consequential decision.

Not investment advice

Nothing on cuff.fun — including the leaderboard, “trenches” page, comments, callouts, character descriptions, or chat — is investment advice, a recommendation, or an inducement to trade. We are not a broker, dealer, investment adviser, custodian, money transmitter or financial institution. If you need advice, ask a qualified, regulated professional.

Testnet, geography, and no refunds

  • Testnet vs. mainnet. cuff.fun may operate on a Solana test cluster (devnet / testnet) before any mainnet launch. Test-cluster tokens are not real money and have no value; the UI indicates which cluster is active.
  • Geographic restrictions. You must not use the Service from a jurisdiction where it would be illegal, including comprehensively-sanctioned countries (see section 2). Bypassing geo or sanctions restrictions is a breach of these Terms.
  • No refunds, no reversals. On-chain trades are final. cuff.fun has no power to refund, undo, reverse or claw back a trade — including one you regretted, one with high slippage, or one you intended differently. Under EU consumer law, the 14-day right of withdrawal does not apply to services whose price depends on market fluctuations beyond our control.

Acknowledgement

By trading on cuff.fun you acknowledge that you have read and understood this Risk Disclosure, that you understand the loss is potentially total and irreversible, that you are trading with discretionary funds, and that nothing you see on the Service is investment advice.

B. Acceptable Use Policy

Zero tolerance

The following will result in immediate account termination and, where appropriate, a report to law enforcement:

  • Child sexual abuse material (CSAM). Sexual or sexualised content involving a minor, real or fictional, photographed or AI-generated. This includes characters depicted as under 18, or designed to look under 18, in sexual contexts.
  • Non-consensual intimate imagery. Sexual or nude content depicting an identifiable real person without their documented consent — including deepfakes and AI undressing.
  • Real-person impersonation where the intent is fraud, defamation, harassment, sexual content, or trading on someone's identity without permission.
  • Cloning a real person's voice without their documented consent. See the Voice Cloning Policy.
  • Threats of violence or content that incites violence against a person or group.
  • Terrorist content or content promoting designated terrorist organisations.
  • Content depicting real, severe, non-fictional violence or gore for shock value.
  • Promotion of self-harm or suicide in a way intended to encourage it.
  • Bestiality, necrophilia, incest content.
  • Trafficking, prostitution recruitment, or the sale of sexual services using the Service.

Prohibited content

The following is not allowed and will be removed:

  • Hate speech targeting people based on race, ethnicity, national origin, caste, religion, gender, gender identity, sexual orientation, disability, age, or serious medical condition.
  • Harassment and bullying — sustained, targeted abuse of a specific person, doxxing, brigading, or content designed to threaten or intimidate.
  • Sexually explicit visual content. cuff.fun's creative line is PG-13 / SFW-but-attractive (suggestive, flirty, clothed/swimwear adults). Hardcore pornography, exposed genitalia and explicit sexual acts are not permitted.
  • Glorifying serious self-harm. Educational and recovery-oriented discussion is fine; promotion or glamourisation is not.
  • Hard drugs, weapons-manufacturing instructions, fraud-as-a-service, malware, account-takeover tooling, hacking tutorials targeting specific systems.
  • Personal data of others — full names attached to addresses, phone numbers, identity documents, financial accounts, login credentials.
  • IP infringement. Don't upload someone else's photo, art, music, video, or design without permission. See the Copyright & DMCA Policy below.
  • Misleading financial promotion. No fake price predictions, fake celebrity endorsements, fake roadmaps, or anything designed to manipulate a character's token price.

Prohibited conduct

You must not:

  • Manipulate markets. No wash trading, spoofing, pump-and-dump coordination, fake-volume bots, or any scheme designed to mislead other users about a market.
  • Sybil-attack or farm the platform (multiple accounts to dodge limits, harvest rewards, or fake engagement).
  • Scrape, copy or republish the Service or its data beyond ordinary personal use — no automated harvesting of profiles, characters, chats or trades.
  • Reverse-engineer, decompile or attempt to extract our software, prompts, model weights, or anything else not made public.
  • Bypass moderation, age gates, geo-blocks or rate limits.
  • Attempt to deanonymise other users or link their wallet to their off-chain identity without consent.
  • Use the Service from a sanctioned country or to deal with a sanctioned person.
  • Use chat to extract a character's system prompt as a vector for jailbreaks affecting other users, or to coerce the model into producing content that would itself break this policy.
  • Spam — repetitive posting, mass referrals, automated DMs, link-stuffing in profiles or comments.
  • Run a competing service by impersonating cuff.fun, cloning the UI to phish users, or pretending to be us in any context.

AI-specific rules

Because cuff.fun's product is generative, a few additional rules apply:

  • Don't design characters to deny they're AI when sincerely asked, or to claim they are a specific real person.
  • Don't design characters that intentionally provide medical, legal, financial or mental-health advice as if they were a qualified professional.
  • Don't design characters whose purpose is to manipulate users into self-harm, into giving up personal data, or into transferring money outside the Service.
  • Don't design characters that grade or shame users for refusing sexual or otherwise sensitive prompts.

How we enforce this

Moderation is handled by our team: we review characters and content and act on user reports, doing our best to catch what breaks the rules — though review is manual and best-effort, so we can't promise we catch everything. Typical outcomes, in escalating order, are: content removal; feature limits (no new characters, chat, or trading for a period); temporary account suspension; permanent account termination; and, in serious cases, referral to law enforcement and/or civil claims.

If we remove your content or restrict your account, we will tell you why where we reasonably can, and you can reply to that notice to ask a human to take another look.

Reporting violations

If you see something that breaks this policy, email abuse@cuff.fun. Please include the URL, what the issue is, and (if you're the person harmed) your contact details so we can find and assess the content quickly.

C. Community Rules

The Acceptable Use Policy above sets the hard limits. These Community Rules cover the everyday stuff — tone, manners, marketing. Both apply.

  • Punch up, not down. Self-deprecating, weird, edgy — all fine. Targeting specific real people for harassment, or kicking groups already on the floor, isn't.
  • Be honest about your trades. Don't coordinate fake hype, don't pretend you're someone you're not, and don't shill a character you secretly bag-dumped.
  • Make characters, not victims. Build characters from yourself, fictional people, or people who've clearly consented. Direct clones of specific real, named people without permission get removed.
  • The character is AI. It will sometimes get things wrong. Don't use it as a doctor, lawyer, financial advisor or therapist. If you're in genuine crisis, please reach a real person — see the resources in the AI & Voice Disclosure.
  • No doxxing, no targeted slurs, no bridging fights from other platforms into cuff.fun threads, and no impersonating other users via username, avatar or bio.
  • Trading honestly. Coordinated pump-and-dumps, wash trades, fake volume, sock-puppet top-holder changes, bridge schemes, fake giveaways, and impersonation of cuff.fun itself are bannable.

Most things get a warning and a content removal. Repeat offences escalate to feature limits, then suspension, then a permanent ban. Anything in the zero-tolerance list above skips straight to a permanent ban — and sometimes to law enforcement.

D. Copyright & DMCA Policy

cuff.fun hosts user-generated content (characters, photos, voice clips, comments). We respect intellectual-property rights and respond to valid takedown notices under the United States Digital Millennium Copyright Act (17 U.S.C. § 512) and equivalent regimes elsewhere (including EU and UK copyright law).

How to send a takedown notice

Email our copyright contact — it's the fastest path to a takedown.

Under 17 U.S.C. § 512(c)(3), a valid notice must include:

  • A physical or electronic signature of the copyright owner, or someone authorised to act on their behalf.
  • Identification of the copyrighted work claimed to have been infringed (or a representative list).
  • Identification of the infringing material, with enough information to let us locate it — typically the exact URL on cuff.fun.
  • Your contact information: name, address, phone number, email.
  • A statement that you have a good-faith belief the use is not authorised by the owner, its agent, or the law.
  • A statement, under penalty of perjury, that the information is accurate and that you are the owner or authorised to act for them.

What happens next, and counter-notices

On a complete, good-faith notice we remove or disable the material within a reasonable time, notify the user who uploaded it (with a copy of your notice, contact details redacted where appropriate), and track repeat infringement. We terminate the accounts of repeat infringers in appropriate circumstances.

If your material was removed and you believe that was a mistake, you can file a counter-notice (your signature; identification of the removed material and the URL it appeared at; a statement under penalty of perjury that the removal was a mistake or misidentification; and your name, address, phone, email and consent to the jurisdiction of the federal court where you live, or — if outside the US — where ATG Solutions is located, plus consent to accept service from the complainant). We forward a valid counter-notice to the original complainant and, unless they notify us they have filed a court action within 10–14 business days, we will restore the material.

Knowingly material misrepresentation in a notice or counter-notice is unlawful (17 U.S.C. § 512(f)) and may make you liable for damages. For trademark, right-of-publicity, or voice/likeness complaints (which this section does not cover), use our Contact page; voice complaints are also handled under the Voice Cloning Policy.
